TERMS OF USE
Please read the following Terms of Use carefully before registering on the Website and using our services. These Terms of Service (“Agreement”) govern your access to the content and use of the services provided by Atexpo.online. This Agreement may be amended by us as set forth below. By registering on the Website, you agree to be bound by this Agreement and its terms and conditions.
Atexpo.online enters into a legally binding agreement only with Users who are Event Organizers and purchase paid platform services. Other Users, such as Exhibitors and Visitors, use the functionality of the Site under the terms of this Agreement solely within the scope of accessing events created by Event Organizers and are not customers of Atexpo.online in the sense of providing services.
1. Introduction
1.1. Individual entrepreneur Kuzyk Volodymyr Vasylovych, registration number 3129604597, Ukraine, Lviv region, Lviv city, Muchna st., building 62, apt. 4 (hereinafter Atexpo.online or We), invites Internet users (You, User) to use the Atexpo.online Website (including the Websites of events on the Atexpo.online platform) in accordance with the following rules.
1.2. The User (legal entity, individual who has reached the age of 18) may access the Website only in accordance with the Global Privacy Policy, Cookie Policy and Terms of Use, which are a public offer. If you do not accept the above terms, you do not have the right to use Atexpo.online.
Together, the "Parties" have entered into this agreement on the following:
2. Terms and definitions
2.1. Atexpo.online provides virtual platform services for the creation and management of events (events), including but not limited to: trade shows, fairs, scientific or commercial conferences, forums, product presentations, trainings, seminars and other events organized by Event Organizers. Atexpo.online provides Event Organizers with the opportunity to disseminate information about their events and collect information about Users who register for these events.
Atexpo.online is available via the website https://atexpo.online.
2.2. Event – any type of event (exhibition, fair, scientific conference, etc.) organized using Atexpo.online.
Event Organizer – a User who creates, organizes, moderates or coordinates an event on the platform, has access to paid services and concludes a legally binding service agreement with Atexpo.online.
Exhibitor – A User who participates in an event under the terms and conditions set by the Organizer and places their own information within the virtual stand provided by the Organizer.
Visitor – A User who attends events registered on the platform under the terms and conditions set by the Organizer.
A Ticket is a unique code generated free of charge by the Event Organizer using the Platform’s functionality. The Event Organizer has the right to distribute Tickets at its own discretion in accordance with the terms and conditions of participation in the Event, established by it independently.
The Rules of Conduct on the Site are a set of requirements for the behavior of Users (Organizers, Exhibitors, Visitors) aimed at ensuring the legal, ethical, safe and fair use of the functionality of the Atexpo.online platform. Violation of these Rules may result in restriction or termination of access to the Platform. Atexpo.online is not a party to the legal relations between the Organizer, Exhibitors and Visitors and is not responsible for the conditions of participation, the content of the events or the actions of the specified persons.
Services are a set of technical and informational functionalities provided to Users on the Atexpo.online platform after explicit acceptance of the terms of use upon registration. The Services include, in particular, the creation and administration of Events, posting information about them, interaction between Users, messaging, access to virtual stands and other content of Events. Paid Services are provided exclusively to Event Organizers under the terms of the relevant tariff plans posted on the main page https://atexpo.online/ and in the Event Cabinet on the “Payment” page. Exhibitors and Visitors do not pay for using the platform, but only receive access to the functionality of Events created by the Organizers, in accordance with the terms of participation established by the latter.
Virtual business card – a function in the User’s account that contains a set of information that Users can disclose to other Users and Atexpo.online. This information may include, but is not limited to: the User’s full name, phone number, email address, social media profiles. After entering data into the virtual business card, it becomes publicly available on the website. Users are not recommended to share confidential personal data. Thoughtful selection of information in your virtual business card can contribute to achieving your goals for participating in the event.
2.3. All other terms and definitions found in the text of the Agreement are interpreted in accordance with the current legislation of Ukraine.
3. General rules and payment.
3.1 Atexpo.online undertakes to provide the User (Event Organizer) with services in accordance with the platform’s tariff plans (published on the main page of the Atexpo.online website https://atexpo.online/ and in the Event Cabinet on the “Payment” page) related to access to the Atexpo.online platform for organizing virtual and hybrid events (hereinafter referred to as the services), and the User (Event Organizer) undertakes to accept and pay for such services in accordance with these legal terms. By access to the Atexpo.online platform, the Parties understand the ability of the User (Event Organizer) to create and moderate the Event, as well as use other available functions of Atexpo.online, which must comply with the legislation of Ukraine.
Payment for services provided by the Atexpo.online platform as a technical means for holding the Event may be made exclusively by the Event Organizer. Atexpo.online is a party to the agreement for the provision of platform services and the recipient (beneficiary) of payment from the Organizer. All payments made through integrated acquiring relate exclusively to the payment for Atexpo.online services.
Payment for Atexpo.online services is made online using debit or credit bank cards Visa, Mastercard, Apple Pay, Google Pay, using current account details, the Portmone, Monobank service, as well as other payment instruments (acquirers) that comply with PCI DSS standards. Atexpo.online complies with the requirements of international payment systems regarding the security of payments. Atexpo.online does not store or process payment card data on its servers.
3.2. The Organizer of the Event may create an Event, fill in the relevant information about the event, including the terms of participation (or notify Exhibitors and Visitors in any other way about the terms of participation), attract Exhibitors and Visitors.
Exhibitors (stand owners) are responsible for filling their stand with relevant information, adding banners, presentations (in .pdf format), videos (via YouTube link), contact details, additional information, etc.
The event organizer must verify the information provided by the Exhibitor on the Virtual Stand before validating it for publication. The event organizer has the right to validate or not validate stands at its own discretion.
3.3. By paying for the services, the User consents to the processing of his personal data for the purpose of proper execution of this Agreement, in accordance with the Privacy Policy, the current legislation of Ukraine and international standards in the field of e-commerce.
3.4. All payments for the Services are made in hryvnia (UAH, the national currency of Ukraine) in accordance with the requirements of the current legislation of Ukraine. The price in US dollars (USD) indicated on the website is for informational (reference) purposes only and is not an official payment amount. The conversion into hryvnia is carried out in accordance with the commercial exchange rate of the payment provider at the time of the transaction. The price of the Services indicated before payment includes all payments, fees and commissions that may be associated with the processing of the transaction, and it is final for the User.
3.5. The fact of making an electronic payment is confirmation of the User’s acceptance of the terms of this Agreement in relation to the paid services. Confirmation of agreement with these terms before payment is the User’s setting the appropriate checkmark (“checkbox”) in the payment form before going to the acquirer’s page. An electronic receipt is sent to the User (Organizer) to confirm the payment. An electronic receipt of payment is considered proper confirmation of the fulfillment of financial obligations.
4. Refund Policy.
4.1. Atexpo.online makes every effort to ensure the proper functioning of the paid services of the platform in accordance with this agreement. If the Event Organizer wishes to cancel the paid tariff plan, the following conditions for refusal of services and refunds apply. The Organizer must, within 14 calendar days from the date of payment, send a written notice of cancellation and desire to receive a refund to the address: team@atexpo.online. Refunds are made to the payment method from which the payment was made, within 14 banking days from the date of confirmation of the request.
4.2. After the expiration of the 14-day period from the date of payment, no refunds are made, except in cases where the provision of services becomes objectively impossible due to the fault of Atexpo.online. In the event of such impossibility, Atexpo.online undertakes to make a proportional refund for the unused paid period of the tariff plan, calculated in calendar days.
4.3. Atexpo.online has the right to refuse to refund funds if the restriction or termination of access to the platform was a result of the User's violation of the provisions of this Agreement or applicable law.
5. Modification and Bindingness of the Terms of Use
5 .1. The Terms of Service may be modified unilaterally by Atexpo.online. Atexpo.online will notify you of the modifications by posting an updated version on this page. We recommend that you check the legal terms each time before using the Website. The User confirms his/her agreement with the modified Terms of Use of the Website. If the User does not agree with the modified version of these Terms of Use, the User must stop using Atexpo.online.
5 .2. From the moment of registration on the Atexpo.online platform, the User agrees to these Terms of Service and undertakes to comply with them. Acceptance of the Terms of Use by any person means the use of Atexpo.online, including viewing, creating events or virtual stands, posting any information on the Website and other actions.
5.3. The User may stop using the Services at any time. The User does not need to specifically notify Atexpo.online about the termination of use of the Services.
6. Information on the use of Atexpo.online
6.1. The following actions are prohibited when using the Platform:
- Violate the current legislation of Ukraine.
- Mislead, insult, harass, threaten or violate the rights and freedoms of other Users and/or third parties.
- Post content that contradicts the legislation of Ukraine and the legislation of the countries of the audience of a particular Event, including advertising or promoting illegal activities, violating intellectual property rights, distributing propaganda, spam or other obtrusive information, or describing or promoting criminal activities.
- Intentionally distributing viruses, malicious code, corrupted programs, damaged files or any other destructive or deceptive elements or using the Website in a malicious manner.
- Transfer any personal information of other Users or third parties without their express consent.
- Use any device, program, algorithm or method to disrupt the normal functioning of Atexpo.online or interfere with any activity performed on Atexpo.online.
- Misrepresent your identity to Users and/or third parties.
- Unlawfully collect and process personal information of others.
- Access (or attempt to access) any Services by any means other than the interface provided by Atexpo.online, unless specifically permitted by a separate agreement with Atexpo.online.
- Engage in any activity that disrupts or interferes with the operation of the Website, including servers and networks connected to the Website.
- Unless specifically permitted by a separate agreement, it is prohibited to reproduce, duplicate, copy, sell, trade or resell any Services or content from the Website for any purpose.
- The User accepts sole responsibility for any breach of their obligations under these Terms of Use and the related consequences, including any damages that Atexpo.online may suffer.
6.2 Users may post comments, reviews and materials, as well as make suggestions on the Website, provided that they are legal and do not infringe the rights of third parties, and do not contain harmful, defamatory, obscene or discriminatory material. Users acknowledge that they may come across a website that they find offensive and that Atexpo.online is not responsible for such content, including explicit or offensive material. Users must not impersonate others or use unauthorized or false identities. Please report such cases to the event organizers and Atexpo.online. The Atexpo.online platform reserves the right to conduct additional checks in case of suspicion of fraud or non-compliance with the law, to cancel the event or to delete information shared by users.
6.3 By submitting content or materials to Atexpo.online, the User grants Atexpo.online an irrevocable, royalty-free license to use, reproduce, distribute and publish the content within the scope of the Services. You also allow Atexpo.online to use your name in connection with the content. You represent that your contributions are your own, are not based on information owned by third parties, and comply with applicable law. You agree to defend Atexpo.online from any claims or lawsuits related to your content or your use of the website, and to be responsible for your actions.
6.4. Atexpo.online reserves the right to make changes to the website at its sole discretion, which may include changing the design of the site, terms of service, introducing new services, or adjusting its pricing policy, without the consent of the User.
6.5. Atexpo.online may, without prior notice or explanation, refuse a user registration, restrict access to information on the Platform, or completely block a User's access to the Website. If Atexpo.online disables access to your account, you may lose access to the Services, account data, and any content or materials contained in your account.
6.6. You are responsible for maintaining the confidentiality of your account information, including your username and password. You must not disclose these credentials to third parties. You are responsible for all activities under your account. You must immediately notify Atexpo.online of any security breaches or unauthorized use of your account.
6.7. Atexpo.online may send you e-mail summaries of platform activity and announcements of new features or services. By using Atexpo.online, you agree to receive such communications. You may opt out of these updates at any time by clicking the “unsubscribe” link in the email. However, you will continue to receive important service-related communications, such as security updates or transaction notifications, which are necessary for your continued use of Atexpo.online services.
7. Intellectual Property
7.1. The exclusive right to the services provided by Atexpo.online, including software, databases, information, content and graphic elements, belongs to Atexpo.online. Use of the Website does not transfer to the User any rights to any content of Atexpo.online, such as logos or other marks.
7.2. The User acknowledges that Atexpo.online contains third-party trademarks, products, services, trade names, logos and intellectual property that belong to their respective owners. Users are prohibited from taking any action that infringes the rights of these third parties, including copying, modifying, deleting or using these materials without the express permission of the owners.
7.3. Any content accessed through the Website is the sole responsibility of the natural or legal person from whom such content originates.
7.4. The User shall use the Website in accordance with the Terms of Service and shall refrain from any unauthorized reverse engineering, copying, cloning, modification or creation of derivative works.
8. Notification of Infringement
If the User believes that the content of the Website infringes his intellectual property rights, he must send a complaint to the Event Organizer and Atexpo.online at team@atexpo.online. This complaint must include: evidence of the User’s ownership of the infringed rights, details of the specific content and the name of the element that infringes the User’s rights, the URL of the page on the Platform where the infringement is located.
9. Liability
9.1. Atexpo.online is not responsible for the information posted on the Platform by Users, as well as for actions taken based on this information. Atexpo.online makes efforts to identify and terminate activities on the platform that contradict the legislation of Ukraine and the legal terms of the Website. If you detect any illegal activity, please notify Atexpo.online at team@atexpo.online.
9.2. Atexpo.online will try to provide the highest quality services, but does not provide guarantees regarding the functionality of the website and does not guarantee uninterrupted service. In the event of technical failures due to the fault of the platform that made it impossible to hold the event, the Organizer will receive compensation by extending the tariff for the period during which there was no service, or a partial proportional refund (in accordance with clause 4). Atexpo.online is not liable for any consequences related to the use of the Website to the extent permitted by applicable law. Atexpo.online may, at its sole discretion, suspend the provision of the Services (or any part thereof) temporarily or permanently without prior notice, except in cases where the termination concerns already paid Services for Event Organizers - in which case the Services will continue to be provided until the end of the term for which payment was made, or in accordance with the terms of early termination (provided for in clause 12) and refund (clause 4). Atexpo.online together with its third-party licensors shall not be liable for any damages (direct, indirect, incidental, special, etc.) resulting from the use or inability to use the materials or services of the Website, even if notified of the possibility of such damages. The maximum amount of Atexpo.online's liability is limited to the amount of the tariff plan paid by the user for the last paid period. Users are responsible for all costs associated with the maintenance or repair of equipment or data resulting from the use of the Website or its services.
9.3. Users must familiarize themselves with all information regarding the events. Atexpo.online does not guarantee any specific results from the use of the Website.
9.4. Atexpo.online is not responsible for failures or improper performance of obligations due to interruptions in telecommunications or electricity, malicious software or actions of third parties aimed at disrupting the operation of the Company's systems.
9.5. Atexpo.online is not responsible for the failure of Users (event organizers, exhibitors, visitors, etc.) or third parties to fulfill their obligations related to the use of the Website, as well as for any financial obligations arising in connection therewith. Atexpo.online is not responsible for matters related to the organization and conduct of events stipulated in the Terms of Service. Claims or complaints in this regard should be addressed directly to the relevant Event Organizers, a copy can be sent to team@atexpo.online for information. The User acknowledges that the role of Atexpo.online is limited only to providing access to use the platform and does not extend to direct management or participation in the organization of events.
9.6. Atexpo.online strives to ensure the accuracy and timeliness of the information published by us on the Website. However, Atexpo.online does not guarantee the accuracy or completeness of this information and is not responsible for any errors, inaccuracies or omissions in the content of the Website.
9.7. Users are obliged to immediately notify Atexpo.online of any failures in the operation of the platform, accidental access to personal information or inaccuracies in the information displayed at team@atexpo.online.
9.8. The User acknowledges that any use of the Website beyond the scope of the permissions granted by these Terms of Use, or in a manner that violates the rights of Atexpo.online or third parties, may result in civil, administrative or criminal liability.
9.9. Atexpo.online is not liable if a third party uses another user's credentials due to the User's (or Event Organizer/Exhibitor's) failure to protect the credentials. The User who first provided the activation code (ticket) is considered the legal owner. Users waive the right to claim if their data is used in an unauthorized manner and must contact the Event Organizer to seek a solution. The Event Organizer in the Event Cabinet has the right to deny any User (Visitor, Exhibitor) access to the Event or to deactivate any stand published with compromised credentials.
9.10. If the User does not receive a response from atexpo.online within 30 days after Atexpo.online confirms receipt of his request, the User must resend the request to the specified address of Atexpo.online specified in the Terms of Use, using a registered letter with confirmation of delivery. Atexpo.online will not consider the messages from the User to be legitimate if they do not contain adequate information to confirm the identity of the User.
10. Personal information
10.1. If the User decides to disclose Personal information on the Website, this information will be considered publicly available.
10.2. Atexpo.online reserves the right to store, process and use information of website users in accordance with the Privacy Policy.
10.3. Atexpo.online may store and use information collected through the Website as long as it does not identify any user.
11. Dispute Resolution and Applicable Law
11.1. All legal relations arising in connection with the use of the Website are governed by the laws of Ukraine. The User agrees to the exclusive jurisdiction of the Ukrainian courts.
11.2. If any dispute or claim arises in connection with the use of the Website, the parties will first try to resolve the issue amicably through negotiations before resorting to judicial proceedings. The party raising the dispute or claim must provide the other party with a written notice with a detailed description of the nature of the problem.
11.3. Atexpo.online welcomes feedback, including suggestions, comments and complaints regarding the operation of the Platform and its services, which can be sent by e-mail to team@atexpo.online. By providing feedback, the User transfers all rights to the feedback to Atexpo.online. If transfer is not possible, the User grants Atexpo.online a free, perpetual, irrevocable, worldwide license to use, distribute and modify the review without restriction. The User agrees that Atexpo.online may disclose and sublicense the review without restriction.
11.4. These legal terms constitute the entire agreement between the parties with respect to the subject matter contained herein, superseding all prior agreements and understandings.
11.5. Any delay in exercising Atexpo.online’s rights or remedies shall not constitute a waiver thereof.
11.6. If any provision of this Agreement is held to be unenforceable or illegal, it shall be modified to the extent necessary to make the Agreement valid and enforceable.
11.7. The User may not assign or transfer this Agreement without the express written consent of Atexpo.online, and any unauthorized assignment or transfer shall be void.
12. Term and Termination
12.1. This Agreement shall be effective for a period of 12 months from the date of acceptance.
12.2 This Agreement shall automatically renew for additional one-year periods unless both Parties notify each other in writing thirty (30) days prior to the expiration of the Term or Renewal Term, as the case may be.
12.3 This Agreement may be terminated by mutual consent of the Parties or by either Party by written notice to the other if a Party materially breaches this Agreement, provided that the party in breach fails to cure such breach within 10 days of receipt of written notice stating the breach; or the party is declared bankrupt.
